- Support review and negotiations from a commercial and legal perspective and engage internal subject matter experts, as needed, including, Finance, Procurement, Product development, HR etc.
- Draft contracts, review and negotiate to help internal stakeholders’ close agreements as per the established company guidelines and TAT’s
- Conduct risk / gap analysis and prepare deviation reports or memos to advise internal stakeholders on various issues and projects
- Assist in preparing and maintaining legal database for contracts and other legal documents
- Assist in preparing and updating standard templates that may be used by business team to cover various business transactions Keep track of legal work handled at the business location and update the cross functions as and when required.
- Maintain vital link between the company and its Board of Directors, shareholders, government and regulatory authorities
- Ensure that Board procedures are followed and regularly reviewed and provide guidance to Chairman and the Directors on their responsibilities under various laws Increase the complexity of Contracts to mitigate legal risk along with balancing the business interest
- Manage labor cases, work on winding up and obtain approval of all regulators including NCLT
- Check on all the provisions of mentioned acts/ regulations, amendments and changes introduced therein
- Ensure compliance under mentioned regulations and smooth conduct of Board meetings and shareholders meeting and timely completion of Annual Report
- Review and advice on secretarial and corporate legal work of Promoter group Company on need basis
- Draft and vet all legal documents including dealership agreements, LOI, service agreements and advice on all corporate legal matters
- Provide required support to the Business team in a time bound manner relating to corporate legal.
- Provide guidance on secretarial and corporate legal assignments of Promoter Companies
- Bachelor’s degree in Law Plus
- Company Secretaryship
- 8+ years’ experience as an in-house lawyer in a multinational company
- Sound legal knowledge and analytical approach to legal issues (Exposure to Project Management)
- Exposure to contract disputes, including alternate dispute resolution mechanisms
- Experience in Automobile Manufacturing, other manufacturing, consumer durables, E com or industries having direct exposure to customers
