Company Secretary & Compliance Officer
Profile:
- Serve as the primary point of contact between the company and regulatory authorities.
- Ensure compliance with all applicable laws, regulations, and guidelines governing corporate governance, including the Companies Act, SEBI regulations, and other relevant statutes.
- Coordinate and facilitate board and committee meetings, including preparing agendas, drafting minutes, and ensuring compliance with procedural requirements.
- Provide guidance and support to the Board of Directors and senior management on matters related to corporate governance, legal compliance, and regulatory requirements.
- Maintain and update corporate records, including registers of members, directors, and key management personnel, in compliance with legal requirements.
- Monitor changes in relevant laws, regulations, and guidelines affecting the company's operations and advise management on necessary actions to ensure compliance.
- Assist in the organization and conduct of shareholders' meetings, including preparing notices, agendas, and proxy forms, and ensuring compliance with all procedural requirements.
- Handle shareholder inquiries, requests, and grievances in a professional and timely manner, maintaining effective communication and transparency.
- Stay abreast of emerging trends and best practices in corporate governance and compliance and recommend enhancements to policies, procedures, and processes as necessary.
Experience : 10-15 years of experience working as a Company Secretary in a publicly listed company, preferably in a consumer / retail sector.
