Assistant Manager - Legal & Compliances


Corporate Law Compliances & Statutory meetings - Board, Shareholders & Committees:
Statutory Meetings: Required to play active role in freezing agenda for Shareholders, Board, CSR Committee, Risk Management Committee meetings.
- Will be assisting in compiling Notice, Notes of Agenda, PPT, draft resolution, Explanatory Statements, ATRs, Board meeting material for Directors / shareholders prior to meetings.
- Follow-up with other departments for items requiring Shareholders/ Board / Committee approvals.
- Statutory Records and Forms: Drafting MOM and circulating it on real time, Filing of all Secretarial e-Forms, DRR, maintain Secretarial documentation and Statutory Registers and Records.
- Will work as a custodian for keeping and maintaining statutory records /files/Resolutions etc.
- CSR Compliances and maintaining statutory records for CSR projects and preparation of presentations for Board and Management meetings.
- Coordination with other department & outside agencies in link with the secretarial work as & when required.
Compliance Management & E-Tool Handling:
- Secretarial Compliances: Updating on all Statutory compliances as & when required, doing research and preparation of base notes on applicability, requirements and impact.
- Compliance Tool Administration: Follow up with all concern departments ensuring SMIPL to comply with all the compliances. Keeping track of New / latest amendment and notification of existing or new laws applicable to the Company.
- Coordinating with outside agencies for filing the statutory documents
- Preparing draft response to various authorities / Government notices and communication.
- Guide/Assist /File various applications for consents and registrations across India for SMIPL, Like Shop & Establishment, Factories License etc.,.
Contract Management:
- Responsible for drafting, vetting & Negotiation of agreements/contracts/MOU/NDA/ Deeds/Subrogation deed, addendum.
- Ensuring SMIPL at a minimum risk while making or doing any amendments and forming of above.
- To send / keep track of timely circulation of reminders for expiry and renewal of various agreements.
- To manage entries in the Contract Management Tool and keep track of deviations, follow up with different departments.
- Legal Department being custodian of original contracts keep Central Repository upto date
Litigation Management:
- To assist in all type of company litigation like, Consumer Cases, Civil, Criminal, Arbitration, General and commercial law as may be assigned from time to time.


- Draft opinion on various ongoing and expected litigation for legal position.
- Appear before various Courts, Tribunals or Forums where ever required.
- Smooth coordination with internal departments and lawyers for finalization of information in ongoing cases.
- Must be hands on with drafting & Vetting - Applications, Suits, Affidavit/Vakalatnama, replies, authority letters as and when required for Forums and Courts.
- Will be playing a key role in liaisons with CCI, Statistics dept. MIS for Department head and Management etc.,
Manage, execute and advice/ form opinion on legal concern:
- Review and evaluate the companies policies, procedures, SOP, standard documents to ensure compliance with applicable laws and regulations.
- Provide clarification on legal language or specifications to as and when require basis.
- Opinion and advice to business in relation to advertising guidelines. Review and vetting of commercial advertisements (videos, brochures, newspaper advt) as per Legal perspective including Labels and compliance under legal metrology norms.
- To draft various communications, replies, letters etc. to statutory bodies and represent the company.
