Role Responsibilities

JOB SUMMARY*

Define key responsibilities to reflect the duties and responsibilities of this role.

  • To support the Head, Legal COE, GBS India as a member of the Bank’s Group Commercial Legal Centre of Excellence based in Bangalore. The role will have a specific focus on supporting procurement and commercial contracts with vendors and other third parties across the Bank’s global footprint.
  • To manage the Group Commercial Legal centralized mailbox on all incoming matters for legal support, reviewing the request for completeness and following up with requesters/SCM for additional information wherever required and triaging the request to lawyers in the Commercial Legal Team following the guidelines.
  • To draft, review and validate global procurement contracts (technology and non-technology) like NDAs, proof of concept agreements, SOWs, Order Forms, change orders, to ensure they meet the Group’s third-party contract standards and applicable law.
  • To assist with contractual queries from business stakeholders and supply chain in case of any ambiguity. Provide clarity on contract language by conducting contract review and research and provide analysis and recommendation accordingly.
  • To assist the legal teams across the Bank to ensure appropriate overall matter management. Where external counsel is appointed, to manage the engagement and external legal costs.
  • To provide stakeholders with accurate and timely information and advice regarding the status of contract matters.
  • To keep up to date with relevant policies and procedures and applicable law.
  • To assist with continuous improvement initiatives in relation to contract processes and workflow.
  • To support on team administration tasks where required

RESPONSIBILITIES

Strategy

  • Develop the legal service delivery model for Commercial legal support and a best in class legal operational approach to the team’s global legal activity, including through the adoption of legal technology.
  • Promote a culture and practice of good conduct of business and adherence to legal standards within the Group

Business

  • Support the global Businesses and other Functions with commercial and technology vendor and other third party business arrangements to ensure they meet the Group’s third-party risk management requirements and applicable law.
  • Support other regulatory remediation and change initiatives impacting the Group’s global vendor, other third party and intragroup arrangements, and related change management in respect of operational processes, policies and standards and contract documentation.

Processes

  • Responsible for adhering to the Group Contracts Policy, the Group’s Third-Party Risk Management Framework and related policies and standards.
  • Maintain the team’s Department Operating Instructions for third party contracts and keep them under review.
  • Support with continuous improvement initiatives in relation to contract management, workflow and other process and legal operations tools as well as contract playbooks, guidance and templates.
  • Keep up to date with Group policies and standards and applicable law across the Group’s international jurisdictions.

People & Talent

  • Promoting good legal practice and standards across the Group.
  • Fostering an environment that drives best practice and development across the wider Legal team.

Risk Management

  • Providing expert guidance and support on legal and operational risk identification and management.

Governance

  • Establish strong relationships with key stakeholders at all levels, while independently performing own duties.
  • Work with Businesses and Functions and colleagues in the Legal Function to identify and develop process enhancements and simplification opportunities and innovative solutions to improve and enhance efficiency of legal operations and service delivery.

QUALIFICATIONS

TRAINING, LICENSES, MEMBERSHIPS AND CERTIFICATIONS

  • Must be a qualified lawyer in a common law jurisdiction post qualification experience of at least 2 years.

Our Ideal Candidate

  • Good knowledge and understanding of commercial contract requirements in relation to technology and non-technology procurement matters
  • Experience in contract legal support (whether through in-house or private practice) and business acumen
  • Experience in reviewing contracts using contract templates and/or using contract guidance or playbooks
  • Good knowledge and understanding of commercial contract requirements in relation to technology and non-technology procurement matters
