THE ROLE

Job Purpose

BBC Global News is looking for a qualified Company Secretary and lawyer based in Mumbai to provide high quality, professional company secretarial services to the BBC Global News business and distribution services in India . The post holder will work with our India and Legal Affairs and Finance colleagues in India and across Asia.

Key Responsibilities and Accountabilities

  • Provide high quality professional company secretarial services to the and Global News business in India.
  • Assist the APAC lawyers to manage company secretary service across BBC studios APAC
  • Maintain corporate secretarial records, statutory books and registers and internal databases.
  • Ensure compliance with all relevant statutory and regulatory requirements, advising Senior Management and regional corporate teams on the compliance requirements.
  • Arrange board and/or general meetings and prepare minutes of such meetings.
  • Draft board and/or shareholder approvals/resolutions, where required.
  • Attend to filing and/or registration of any documents, including forms, returns and applications by or on behalf of the company.
  • Maintain a corporate calendar with the key meeting dates for the company, working closely with management and other colleagues within BBC Studios to achieve this and assist with the planning and management of the meeting lifecycle.
  • Maintain a comprehensive shared drive and filing system for the India company secretarial function and manage a consistent naming structure for all board and committee meeting papers.

Other responsibilities

  • Support Production and distribution team administration with engagement and tracking of ancillary services agreements for Production .
  • Assist with filing, documentation and other administrative tasks associated with the India business and legal compliance.
  • Provide ad hoc support to the regional Finance Team on compliance reporting, for example Foreign Exchange Management Act (FEMA) declarations and RBI compliances.

Knowledge, Skills, Training & Experience

  • Be a qualified Company Secretary with a current membership with the Institute of Company Secretaries of India and LLB graduate.
  • Be highly organised and methodical with a first-class attention to detail.
  • Be experienced in working at pace in a changing environment, able to operate under pressure and meet tight deadlines.
  • Have strong planning skills and the ability to prioritise tasks.
  • Be able to work independently and manage your own workload but not be afraid to ask for help as required.
  • Be proactive, use your initiative to identify the next steps of a task
  • Have strong communication skills - interpersonally, orally and written.
  • Be able to quickly integrate into a dynamic team and work collaboratively.
  • Be computer literate with specific experience of Microsoft Office.
