Job description

Role: Assistant Company Secretary Reporting to Head- CS, Treasury, Ventures Finance Experience: Qualified CS with 12+ years of relevant experience in large listed companies. Key responsibilities of the role: End-to-end Board and Board committee governance including agenda, minutes etc. Ensuring Companies Act compliance – both adhoc and periodic including filing relevant forms with MCA. Drafting annual report, AGM notice, postal ballot notice & overseeing dividend payments. Overall shareholder servicing including interface with Company’s Share Transfer Agent & handling IEPF matters. Act as a single point of contact representing CS function – within the organisation/ secretarial auditors, statutory auditors, cost auditors etc. Act as a Centre of Excellence (COE) for interpretation of Companies Act/ SEBI regulations and also develop repository of precedents from publicly available information. Supervise critical projects within CS function/with CS function interface Drive simplification & automation of processes, create repository of various processes/ checklists etc. Continuous benchmarking/ identifying best practices in corporate governance/ secretarial practices. Monitor changes in the legislative and regulatory environment and ensure appropriate dissemination of information and proactive actions to ensure timely compliance and safeguarding company interests. Holistic assessment & execution of change requirements (emanating from regulatory changes and impacting functions beyond CS) by driving change management as the custodian of the process on behalf of USL. Advise, guide, support and assist senior management in all corporate secretarial, board and shareholders matters and in dealing with regulators and external stakeholders. Support and provide guidance to the board, board committees and individual directors in effective discharge of their duties/responsibilities. Providing timely advice to the concerned stakeholders for various strategic corporate matters and analysing various proposals from the Companies Act/ SEBI regulations/ Statement of Authority (SOA)/ previous board mandates perspective. Be the Brand ambassador for the Secretarial and Compliance function and play a critical role in the extended Finance Leadership Team for driving engagement within the overall team.
